In particular, facilities financed with pledged revenue from user fees, such as student housing, parking, and athletic facility revenues, may generate substantially less revenue than projected. Such facilities may struggle to comply with financial covenants and obligations in connection with the repayment of project debt and may require financial restructuring or other relief. Students were told not to return to campus after Spring Break and that they must move out of their residence halls immediately. The world was in the midst of a pandemic and our country needed to control the spread of the virus. San Diego State University's residential education leadership and Capstone, its partner in an affiliated P3 housing project immediately increased dialog and collaboration to better serve our mutual student residents. As partners, we navigated the daily challenges the campus and students faced, while simultaneously making and coordinating respective plans to re-open for the fall. The challenges were numerous, but in the end, the partnership shined brightly as we together focused on the safety and well-being of students in the context of understanding the financial and operational challenges born by each party. Key takeaways for attendees will be a University’s perspective on what it is like to work with a P3 partner in a tense campus climate, the value of collaboration and shared respect for each other’s goals, and the characteristics of a partner that you should look for when exploring a long-term partnership.

In this session, we hope to unpack the role P3s can have in the recovery of higher education, given the new reality and exacerbated challenges related to decreasing state support, tuition dependence, and increased costs of operating and improving the physical campus. 2:15 PM – 2:45 PM Virtual Room 2: The Ohio State University Energy Concession Please join Christopher Miller, Partner at Ice Miller, with Thomas Komlanc of OSU in a fireside chat to dive into some of the details of The Ohio State University (“OSU”) Energy Concession project (the “Project”). As a key team member on the Project, Christopher Miller worked extensively with the bidders and key technical and organizational stakeholders to identify and quantify the complex demands on the power system and needs of OSU to ensure that the long term service level and governance agreements and requirements protected OSU’s operational flexibility and stability while balancing the project financial goals of OSU with the investment concerns of the bidders in facilitating the private concession of OSU’s energy and utility systems. The transaction with Ohio State Energy Partners utilized a 50-year lease agreement to provide OSU a $1.015 billion upfront payment, a $150 million commitment to support OSU academics, and a goal of improving OSU energy efficiency by at least 25% in the first 10 years of the agreement.”
